1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of websites, applications, portals, quoting tools, and related services operated by Kovara and its brands (collectively, "Kovara," "we," "us," or "our"), including Vista Warranty, DriveOne products, and other vehicle protection offerings we make available.

By accessing our websites, creating an account, requesting a quote, purchasing or financing a vehicle service contract, or otherwise using our services, you agree to these Terms. If you do not agree, do not use our services.

If you use our services on behalf of an agency, dealership, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Our Services

Kovara provides technology and product experiences that may include:

• Extended warranty / vehicle service contract (VSC) quoting, checkout, electronic document signing, and payment or financing flows for consumers
• Tools for insurance agencies and partners to offer warranty alongside auto insurance workflows (including Vista Warranty)
• Account portals for agencies, team members, and customers to manage quotes, contracts, documents, and related activity
• Communications about quotes, contracts, payments, claims guidance, and account updates

Vehicle service contracts offered through our platform may be issued, underwritten, administered, or insured by third-party providers (for example, coverage marketed as insured by Old Republic where applicable). Kovara provides software, sales enablement, and checkout experiences; the contract documents you sign control the coverage terms.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use our services. Certain products are only available in supported U.S. states and for eligible vehicles (for example, mileage and VIN eligibility rules). We may refuse, cancel, or limit service where eligibility requirements are not met or where required by law or our partners.

4. Accounts and Partner Use

You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us promptly of any unauthorized use.

Agency and dealer partners agree to use our tools in accordance with applicable insurance, consumer protection, and marketing laws; only share accurate customer information; and not misrepresent coverage, pricing, financing terms, or affiliation with Kovara or our underwriting partners.

5. Quotes, Pricing, and Purchases

Quotes are estimates based on information you or your agent provide (including vehicle, mileage, contact, and address details) and on rates from our pricing and contract partners. Quotes may change or expire, and final pricing, taxes, fees, and eligibility are confirmed during checkout and in your contract documents.

By completing a purchase or financing application, you authorize us and our payment, financing, rating, and document partners to process your transaction, generate and present contracts for signature, and activate coverage subject to partner approval and contract terms.

Financing (including 0% financing options where offered) is provided by third-party lenders or payment processors. Their disclosures, credit decisions, and agreements apply in addition to these Terms.

6. Communications & Opt-In Consent

By requesting a quote, providing your contact information, or completing checkout—whether on our website, through a partner portal, or via an agent—you consent to receive communications from Kovara and our partners related to your quote, contract, payments, documents, and account, including email and SMS/text messages where you have provided a mobile number.

• Email: You may unsubscribe from marketing emails using the link in those emails or our unsubscribe page. Transactional messages about your contract or account may still be sent.
• SMS: Reply STOP to opt out of text messages. Message and data rates may apply.

7. Electronic Signatures and Documents

You consent to receive contracts, disclosures, receipts, and related records electronically and to sign documents electronically. Your electronic signature has the same legal effect as a handwritten signature to the extent permitted by law. Keep copies of signed documents for your records; you may also access them through portals we make available where supported.

8. Acceptable Use

You agree not to:

• Use the services for unlawful, fraudulent, or deceptive purposes
• Attempt to reverse engineer, scrape, overload, or disrupt our systems or those of our partners
• Upload malware or interfere with other users' access
• Misrepresent your identity, vehicle information, or authority to act
• Use automated means to access the services without our prior written consent

9. Intellectual Property

The services, including software, designs, logos, trademarks, and content (excluding your submitted data and third-party materials), are owned by Kovara or our licensors. You receive a limited, non-exclusive, non-transferable license to use the services as provided. You may not copy, modify, or distribute our materials except as expressly allowed.

10. Third-Party Services

Our platform integrates with third parties for authentication, payments, financing, rating, contract administration, e-signature, messaging, analytics, and hosting. Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party websites or services we do not control.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the services will be uninterrupted, error-free, or free of harmful components, or that quotes will always match final contract pricing.

Coverage descriptions on marketing pages are summaries only. The issued vehicle service contract and related disclosures control your rights and obligations.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOVARA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KOVARA FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, the limitation applies to the fullest extent permitted.

13. Indemnification

You agree to defend, indemnify, and hold harmless Kovara and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the services, violation of these Terms, or infringement of any third-party right.

14. Termination

We may suspend or terminate access to the services at any time if you violate these Terms, if required by law or our partners, or if we discontinue a product. You may stop using the services at any time. Provisions that by their nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised effective date. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the services.

16. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your state of residence require otherwise.
